Corporate Legal Counsel (Commercial / Contracts)

Location: Tokyo or Yokohama | Confidential Global Professional Services Firm

About the Role

A leading global professional services firm is seeking an experienced Corporate Legal professional to join its Japan legal team. This role focuses on supporting complex, high‑value business transactions and advising internal stakeholders on contract and legal risk matters from an early stage.
You will work closely with business teams and global legal colleagues, providing hands‑on legal support across a wide range of cutting‑edge technology and consulting projects.

Key Responsibilities

Drafting, reviewing, and negotiating commercial contracts related to client engagements
(primarily Japanese contracts, with some English documentation)
Supporting deal structuring and advising on legal and contractual risks at early stages of business proposals
Providing legal support on matters involving data protection, IP, competition law, labor law, regulatory compliance, and other relevant regulations
Advising on complex and large‑scale projects, including:

Cloud, AI, IoT, digital and technology‑driven initiatives
Global IT system development and outsourcing projects
Partnerships, joint ventures, and M&A‑related matters

Supporting dispute and issue management related to contract performance
Delivering contract‑related training and guidance to internal business teams
Monitoring legal and regulatory developments impacting business activities
Contributing to knowledge management initiatives (templates, guidelines, tools, training materials)
Collaborating with APAC and global legal teams
Mentoring and supporting junior legal team members (depending on seniority)

Requirements
Mandatory
Bachelor’s degree or above
Native‑level Japanese

Experience in contract drafting, review, and negotiation gained from:
In‑house legal department or
Law firm

Experience & English level by seniority

Specialist: 3–4 years’ experience | English reading/writing ability (TOEIC ~700+)
Associate Manager: 5–8 years’ experience | English reading/writing ability (TOEIC ~700+)
Manager: 7–10 years’ experience | Business‑level English (TOEIC ~750+)
Senior Manager: ~15 years’ experience | Business‑level English


Preferred Qualifications

Experience or strong interest in IT, technology, or consulting‑related businesses
Exposure to areas such as:

IT systems development and operations
AI, cloud, SaaS, RPA, IoT, cybersecurity, outsourcing
M&A, JV, PMI, data protection, IP matters

Experience working in multinational or globally operating organizations
Experience mentoring junior team members or leading internal projects
Proactive, collaborative, flexible, and business‑minded approach
A Japanese or foreign bar qualification is a plus (not mandatory).
